Terms of Service
Last Updated: July 26, 2026
These Terms of Service, together with any additional terms, policies, rules, or guidelines incorporated by reference (collectively, these “Terms”), govern your access to and use of the Simmer mobile applications, websites, account services, software, features, content, artificial intelligence features, analytics, telemetry, sync features, backend services, and related products and services (collectively, the “Service”) provided by Simmer Social, LLC, a Delaware LLC(“Simmer,” “we,” “us,” or “our”).
Please read these Terms carefully. By downloading, installing, accessing, purchasing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to enter into these Terms.
The Service is intended for personal use only. You may not use the Service on behalf of any business, organization, or other legal entity unless we expressly authorize such use in writing.
2. Changes to These Terms
We reserve the right to modify these Terms at any time, in our sole discretion. When we do so, we will revise the “Last Updated” date above and may provide additional notice, including by posting a notice in the Service, sending an email, or otherwise notifying you through the Service.
Any changes to these Terms will be effective when posted unless we specify a later effective date. Your continued access to or use of the Service following the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service.
3. Privacy
Please review our Privacy Policy at https://simmer.social/privacy for information about how we collect, use, disclose, and otherwise process information. The Privacy Policy is incorporated into these Terms by reference.
Your use of the Service is subject to our Privacy Policy and to any permissions, privacy controls, or settings made available by your device, operating system, app store, or the Service.
4. Accounts
Some portions of the Service may be available without creating an account. Other current or future features may require you to create or maintain an account.
You may be able to create or access an account using a password, magic link, Apple login, Google login, social login, or other authentication methods we make available. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information and to keep your information up to date. You must notify us promptly at support@simmer.social if you believe your account has been compromised.
We may suspend or terminate your access to the Service if we believe that your account information is inaccurate, incomplete, fraudulent, compromised, or used in violation of these Terms.
5. License to Use the Service
Subject to your compliance with these Terms, Simmer grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Service solely for your personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, attempt to derive the source code of, or create derivative works based on the Service, except to the extent such restrictions are prohibited by applicable law.
All rights not expressly granted to you are reserved by Simmer and its licensors.
6. App Store Terms
The availability of the Service may depend on third-party platforms, app stores, operating systems, device manufacturers, payment processors, and other third-party services, including Apple and Google. Your use of the Service may also be subject to the terms, conditions, policies, and rules of those third parties.
If you download the Service from the Apple App Store, Google Play Store, or another app store or distribution platform, you acknowledge and agree that:
- these Terms are between you and Simmer, not the applicable app store provider;
- the app store provider is not responsible for the Service or its content;
- the app store provider has no obligation to furnish maintenance or support services for the Service;
- the app store provider is not responsible for any claims relating to the Service, including product liability claims, legal or regulatory claims, consumer protection claims, intellectual property claims, or claims that the Service fails to conform to applicable legal or regulatory requirements;
- your use of the Service must comply with the applicable app store terms of service; and
- the applicable app store provider and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as third-party beneficiaries.
To the extent these Terms conflict with applicable app store terms required by Apple, Google, or another app store provider, the applicable app store terms will control solely to the extent of the conflict.
7. Purchases, Fees, and Subscriptions
The Service may be offered as a paid app download, through in-app purchases, through paid subscriptions, through promotional offers, or through other paid or unpaid access methods.
Currently, the Service may be purchased through app store channels. In the future, certain features may require additional purchases, in-app purchases, paid subscriptions, paid accounts, or other fees.
Prices, features, purchase terms, subscription terms, renewal periods, cancellation procedures, refund rules, taxes, and billing practices may be determined by the applicable app store, payment processor, or platform through which you purchase the Service. You are responsible for reviewing and complying with the applicable purchase, billing, cancellation, and refund terms.
Unless otherwise expressly stated by Simmer in writing, purchases made through the Apple App Store, Google Play Store, or another app store are billed, managed, renewed, cancelled, and refunded by the applicable app store or platform, not by Simmer.
We may change the fees, features, purchase structure, subscription structure, or availability of paid functionality at any time, subject to applicable law and applicable app store rules.
8. Promotional Access and Family Sharing
We may offer promotional access, trial access, cohort access, app store promo codes, founder access, discounts, or other special offers. Promotional offers may be limited, revoked, modified, or discontinued at any time unless otherwise required by law.
Family sharing, family library, or similar app-store sharing features are available only to the extent enabled by the applicable app store or platform and subject to the rules of that app store or platform. Simmer does not guarantee that any purchase, subscription, feature, or content will be eligible for family sharing.
9. Service Availability and Changes
We may modify, update, suspend, discontinue, replace, remove, limit, or restrict all or part of the Service at any time, with or without notice, including any feature, functionality, account service, sync service, backend service, hosted feature, telemetry service, analytics service, artificial intelligence feature, notification feature, or other component of the Service.
You acknowledge that the Service may include functionality that operates locally on your device and functionality that depends on servers, networks, third-party services, app stores, operating systems, accounts, internet connectivity, or backend infrastructure.
Certain local-only features may continue to operate without server-side or backend functionality where technically available. However, Simmer does not guarantee that any feature, including any local, hosted, backend, sync, account, artificial intelligence, telemetry, or notification feature, will remain available, uninterrupted, error-free, compatible, supported, or unchanged.
Your purchase or use of the Service does not entitle you to continued access to any particular feature, server-side functionality, backend functionality, sync capability, artificial intelligence feature, account service, support service, or future update.
10. Device Storage, Backups, and Data Loss
Some or all of your data may be stored locally on your device. Local data may be lost if your device is lost, damaged, reset, erased, replaced, corrupted, or otherwise unavailable, or if the Service is deleted, reinstalled, updated, or fails to operate properly.
You are solely responsible for maintaining backups of your device and any data you wish to preserve, including through backup and restore functionality made available by your device manufacturer, operating system, or platform provider.
Simmer may offer export, backup, sync, restore, or data portability features in the future, but does not currently guarantee the availability of any such features. Simmer is not responsible for any loss, deletion, corruption, failure to store, failure to sync, or failure to restore any data, content, settings, contacts, notes, labels, reminders, reflections, journal entries, or other materials.
11. Contacts and Permissions
The Service may request access to your device contacts or other device permissions in order to provide product features. You may grant, deny, or revoke permissions through your device settings, subject to the functionality made available by your device and operating system.
Currently, contact data is processed locally on your device. In the future, Simmer may transmit, process, store, or sync contact data or contact-derived information through Simmer servers or service providers acting on Simmer’s behalf, solely to provide, maintain, secure, support, or improve product features and not for marketing purposes.
You represent and warrant that you have the necessary rights and permissions to provide, access, process, or use any contact information or other information you make available through the Service.
You are solely responsible for your communications with contacts and for complying with all applicable laws, rules, regulations, platform policies, and social norms relating to communications, consent, privacy, spam, harassment, and contact management.
12. Communications and Outreach
The Service may help you remember, organize, prioritize, prepare for, or reflect on communications with people in your contacts or network.
Simmer does not currently provide direct user-to-user messaging features. Simmer does not send messages, emails, text messages, direct messages, invitations, or other communications to third parties without your explicit consent.
You are solely responsible for any message, communication, outreach, follow-up, invitation, note, or other interaction you initiate, send, approve, copy, paste, edit, or otherwise make using or in connection with the Service.
You agree not to use the Service to send or facilitate spam, unsolicited commercial communications, harassment, abusive messages, deceptive messages, unlawful messages, or communications that violate the rights of others or applicable law.
13. User Content
The Service may allow you to create, enter, store, process, label, organize, or generate content, including names, contact metadata, labels, tags, reminders, goals, notes, journal entries, reflections, relationship notes, summaries, suggested topics, prompts, and other materials (“User Content”).
You retain ownership of your User Content, subject to the license granted below.
You grant Simmer a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, modify, analyze, and use your User Content solely as necessary to provide, maintain, secure, support, develop, and improve the Service; comply with law; enforce these Terms; and as otherwise described in the Privacy Policy.
You represent and warrant that you have all rights, licenses, consents, and permissions necessary to provide your User Content and to grant the rights described in these Terms.
You are solely responsible for your User Content and for any consequences of creating, storing, using, sharing, relying on, or transmitting your User Content.
14. Artificial Intelligence Features
The Service may include artificial intelligence, machine learning, algorithmic, automated, or assistive features, including features that generate, summarize, suggest, prioritize, classify, label, organize, or otherwise process content, contacts, notes, reminders, relationship information, prompts, reflections, or other information.
AI features may operate on-device, through Simmer servers, through service providers operating on Simmer’s behalf, or through a combination of these methods. Whenever reasonably possible, Simmer may use on-device AI models, but Simmer does not guarantee that any particular AI feature will operate on-device or remain available.
AI-generated or AI-assisted outputs may be inaccurate, incomplete, misleading, inappropriate, outdated, or unsuitable for your circumstances. You are solely responsible for reviewing, verifying, editing, approving, and deciding whether to use any AI-generated or AI-assisted output.
AI outputs are not professional advice and should not be relied upon as legal, financial, medical, employment, therapeutic, psychological, emergency, safety, or other professional advice.
Simmer does not use User Content or contact data for training or model development except as described in the Privacy Policy. Simmer does not share User Content or contact data with third parties for the purpose of training or developing third-party AI models.
15. Telemetry, Analytics, and Crash Reporting
The Service may collect and transmit telemetry, analytics, diagnostic, usage, performance, crash, error, device, attribution, purchase, and similar information to Simmer or to service providers acting on Simmer’s behalf.
Such information may be used to operate, maintain, secure, debug, measure, support, improve, and develop the Service; understand usage; detect abuse; analyze performance; and comply with legal, app store, platform, or operational requirements.
Additional information about these practices is described in the Privacy Policy.
16. Acceptable Use
You agree that you will not, and will not permit any other person to:
- use the Service for any commercial, business, sales, recruiting, marketing, advertising, lead generation, political campaigning, or other non-personal purpose unless expressly authorized by Simmer in writing;
- use the Service to send, facilitate, prepare, organize, or encourage spam, harassment, threats, abuse, deception, fraud, unlawful communications, unsolicited commercial communications, or other objectionable conduct;
- violate any applicable law, regulation, rule, order, contract, duty, or third-party right;
- upload, enter, store, process, or transmit content that is unlawful, defamatory, obscene, abusive, invasive of privacy, infringing, deceptive, fraudulent, or otherwise objectionable;
- access, use, or process contact information or personal information without appropriate rights, permissions, or authority;
- scrape, harvest, extract, copy, index, mine, or collect data from the Service except as expressly permitted by Simmer;
- use bots, scripts, crawlers, scrapers, automation, or other automated methods to access or use the Service;
- interfere with, disrupt, damage, overburden, impair, or gain unauthorized access to the Service or any related systems, networks, accounts, servers, or infrastructure;
- bypass, disable, circumvent, or interfere with any security, access control, rate limit, usage limit, payment, entitlement, or technical restriction;
- reverse engineer, decompile, disassemble, modify, translate, adapt, or create derivative works of the Service except to the extent such restrictions are prohibited by applicable law;
- use the Service to develop, train, improve, or benchmark competing products, models, services, or datasets;
- sell, resell, rent, lease, sublicense, distribute, provide, or otherwise make the Service available to any third party;
- misrepresent your identity, affiliation, authority, or relationship with any person or entity;
- use the Service in any manner that could damage, disable, impair, or harm Simmer, the Service, other users, third parties, or Simmer’s reputation; or
- attempt to do any of the foregoing.
17. Third-Party Services
The Service may depend on, interoperate with, link to, or include functionality provided by third parties, including app stores, operating systems, device manufacturers, identity providers, payment processors, analytics providers, crash reporting providers, email service providers, hosting providers, and other service providers.
Simmer does not control and is not responsible for third-party services, products, platforms, content, policies, practices, failures, outages, acts, or omissions. Your use of third-party services may be subject to separate terms, policies, fees, and conditions.
We may add, remove, replace, suspend, or change third-party integrations or service providers at any time.
18. Ownership
The Service, including all software, technology, interfaces, designs, text, graphics, images, content, trademarks, service marks, logos, trade names, features, functionality, and other materials, is owned by Simmer or its licensors and is protected by intellectual property and other laws.
Except for the limited license expressly granted in these Terms, no rights are granted to you in or to the Service or any Simmer intellectual property.
You may not use Simmer’s name, trademarks, logos, or branding without Simmer’s prior written consent.
19. Feedback
If you provide ideas, suggestions, comments, requests, recommendations, or other feedback regarding the Service (“Feedback”), you grant Simmer a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, perform, display, create derivative works from, make, sell, offer for sale, import, and otherwise exploit the Feedback for any purpose without restriction or compensation to you.
You agree that Simmer has no obligation to keep Feedback confidential or to use, implement, or respond to Feedback.
20. Suspension and Termination
We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, for any reason or no reason, including if we believe that you have violated these Terms, created risk or legal exposure for Simmer, infringed the rights of others, misused the Service, or engaged in unlawful or objectionable conduct.
You may stop using the Service at any time. If you have an account, you may delete your account through available in-app functionality or by contacting us at support@simmer.social.
Termination does not entitle you to any refund, credit, or compensation, except as required by applicable law or applicable app store rules.
Upon termination, the rights and licenses granted to you under these Terms will terminate immediately. Sections that by their nature should survive termination will survive, including sections relating to ownership, User Content licenses, Feedback, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.
21. No Professional Advice
The Service is provided for informational, organizational, productivity, and personal relationship management purposes only.
The Service does not provide legal, financial, medical, employment, therapeutic, psychological, emergency, safety, or other professional advice. You should not rely on the Service as a substitute for professional judgment or advice.
You are solely responsible for decisions, communications, actions, and omissions made based on or in connection with the Service.
22. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMMER DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPATIBILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
SIMMER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, ACCURATE, COMPLETE, COMPATIBLE, FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA, CONTENT, CONTACTS, NOTES, REMINDERS, REFLECTIONS, SETTINGS, AI OUTPUTS, OR OTHER MATERIALS WILL BE PRESERVED, STORED, SYNCED, RESTORED, OR AVAILABLE.
SIMMER DOES NOT WARRANT THAT ANY LOCAL, HOSTED, SERVER-SIDE, BACKEND, SYNC, ACCOUNT, NOTIFICATION, TELEMETRY, ANALYTICS, CRASH REPORTING, PAYMENT, APP STORE, THIRD-PARTY, OR ARTIFICIAL INTELLIGENCE FUNCTIONALITY WILL REMAIN AVAILABLE OR OPERATE WITHOUT INTERRUPTION.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMMER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF CONTENT, LOSS OF CONTACTS, LOSS OF USE, BUSINESS INTERRUPTION, DEVICE FAILURE, SYSTEM FAILURE, OR COST OF SUBSTITUTE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, EVEN IF SIMMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMMER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SIMMER OR THROUGH AN APP STORE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, Simmer’s liability will be limited to the maximum extent permitted by applicable law.
24. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Simmer and its officers, directors, employees, agents, affiliates, licensors, service providers, and suppliers from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your access to or use of the Service;
- your User Content;
- your communications, outreach, messages, or interactions with third parties;
- your violation of these Terms;
- your violation of applicable law or third-party rights;
- your misuse of contact information or personal information; or
- your fraud, willful misconduct, or negligence.
Simmer reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Simmer’s defense of such matter.
25. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent preempted by federal law.
The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below.
26. Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND SIMMER TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION AND LIMITS THE MANNER IN WHICH YOU AND SIMMER CAN SEEK RELIEF.
26.1 Agreement to Arbitrate
You and Simmer agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your access to or use of the Service, any purchase, payment, subscription, account, content, communication, or relationship with Simmer, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved by binding arbitration, except as expressly provided below.
26.2 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, data security obligations, or unauthorized access to the Service.
26.3 Arbitration Rules and Forum
Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules, except as modified by these Terms.
The arbitration may be conducted remotely, by telephone, by video conference, based on written submissions, or in person, as determined by the arbitrator and consistent with the applicable AAA rules.
26.4 Informal Dispute Resolution
Before initiating arbitration, you agree to first contact Simmer at legal@simmer.social and provide a written notice describing your claim, the relief you seek, and your contact information.
You and Simmer agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days after receipt of the notice before either party initiates arbitration, unless this requirement is excused by applicable law.
26.5 Individual Arbitration Only
YOU AND SIMMER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.
Unless both you and Simmer agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding.
26.6 Jury Trial Waiver
YOU AND SIMMER WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A JURY TRIAL. Instead, any covered dispute will be resolved by arbitration, except as expressly provided in these Terms.
26.7 Authority of Arbitrator
The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable, except that a court of competent jurisdiction will have authority to determine the enforceability of the class action waiver.
26.8 Fees
Payment of arbitration fees will be governed by the applicable AAA rules, subject to applicable law. Each party will bear its own attorneys’ fees and costs unless applicable law or the arbitrator requires otherwise.
26.9 Severability
If any portion of this arbitration agreement is found to be unenforceable, the unenforceable portion will be severed and the remaining portions will remain in full force and effect, except that if the class action waiver is found to be unenforceable, then this entire arbitration agreement will be unenforceable.
27. Venue for Non-Arbitrable Claims
For any dispute not subject to arbitration, you and Simmer agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, unless otherwise required by applicable law.
You and Simmer waive any objection to jurisdiction and venue in such courts.
28. Export and Sanctions Compliance
You may not use, export, re-export, import, or transfer the Service except as authorized by United States law and the laws of the jurisdiction in which you obtained the Service.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted party list.
You may not use the Service for any purpose prohibited by U.S. law, including the development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons.
29. U.S. Government Rights
The Service is commercial computer software and commercial computer software documentation. If the Service is acquired by or on behalf of the United States Government, then the Government’s rights in the Service are limited to those rights customarily provided to the public as set forth in these Terms.
30. Copyright Complaints
If you believe that content available through the Service infringes your copyright, you may submit a notice to us by email at: legal@simmer.social
Your notice should include sufficient information for us to identify the allegedly infringing material and contact you. We may remove or disable access to content alleged to be infringing and may terminate repeat infringers where appropriate.
31. Notices
We may provide notices to you by email, in-app notice, push notification, posting through the Service, posting on our website, or other reasonable means.
You may provide legal notices by email at legal@simmer.social. We may require that certain notices also be sent by mail to an address we designate upon request, where permitted by applicable law.
Notices are deemed given when sent, posted, or otherwise made available, unless applicable law requires otherwise.
32. Assignment
You may not assign or transfer these Terms or any rights or obligations under these Terms without Simmer’s prior written consent.
Simmer may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, change of control, or by operation of law.
Any attempted assignment in violation of this section is void.
33. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
34. No Waiver
Simmer’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by Simmer to be effective.
35. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Simmer regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written, regarding the Service.
